GENERAL SALES CONDITIONS

Preamble

SAS DopPRO (hereinafter referred to as "the Supplier"), SAS with a capital of €4500, VAT number FR49831280474 whose head office is located at 10 rue Jean Brunet 92270 Bois-Colombes France registered with the RCS of Nanterre under number B831280474 , publishes and administers the e-commerce site accessible at the address www.DopPRO.com and www.DopPRO.fr (hereinafter referred to as 'DopPRO' or the "Site") offering the sale of items frequently used within the framework film shoots.
The Supplier puts online on the Site an ordering system made available to its customers who are mainly film professionals .

Article 1: Fields of application and modification of the General Conditions of Sale
These general conditions of sale (hereinafter the "General Conditions of Sale") apply, without restriction or reservation, to all the products offered for sale by the company DopPRO on its website www.DopPRO.com.
Sales are exclusively subject to these general conditions which prevail over all other conditions, in particular those emanating from the Customer.
Consequently, the fact for a natural or legal person, to order on the site implies full acceptance of these general conditions of sale. They are accessible at any time on the Site and will prevail, where applicable, over any other version.
Unless proven otherwise, the data recorded by the Supplier constitutes proof of all transactions.

Article 2: Availability of products
Product offers and prices are valid as long as they are visible on the Site, within the limits of available stocks.
The indications on the availability of the products are provided at the time of placing the order.
Any error in the updating of stocks, whatever its origin, cannot engage the responsibility of the Supplier.
In the event of unavailability, the Supplier undertakes within 30 days from the validation of the order either to deliver the ordered product to you, or to reimburse you for it.

Article 3: Validation of orders and electronic signature
The Customer selects on the site the products he wishes to order.
In accordance with Law No. 2000-230 of March 13, 2000 on electronic signature, any purchase order signed by the Customer by clicking on the "FINISH MY ORDER" button constitutes irrevocable acceptance which can only be challenged within the limits provided for in these general conditions of sale.
The click associated with the authentication and non-repudiation procedure and the protection of message integrity constitutes an electronic signature. This electronic signature has value between the parties in the same way as a handwritten signature.

Article 4: Price
The prices are displayed, on the Site, in Euros. They do not include processing, shipping and transport costs (hereinafter referred to as "Transport costs").
Payment is made in Euros. Any supplement inherent in an order placed in another currency is the responsibility of the Customer.
The Supplier reserves the right to modify its prices at any time but undertakes to apply the prices in force which will have been indicated to you at the time of your order, subject to availability on that date.
The price indicated in the order confirmation by the Supplier is the final price. The payment itself will only be considered final after actual collection of the funds by the Supplier.
The selling prices of the products are expressed excluding taxes (HT) and are guaranteed subject to modification of the French VAT rate. Any change in this rate could then be immediately passed on to the selling prices.
Processing, shipping and transport costs are the responsibility of the Customer and are invoiced in addition to the price of the products according to the amount of the order. The amount of these costs will be indicated during the validation of the order by the Customer.

Article 5: VAT and taxes

5.1 Metropolitan France delivery
The items ordered are subject to French VAT as well as increased transport costs.

5.2 Overseas delivery
Any order involving delivery overseas is exempt from mainland VAT. This exemption relates to the sale price of the products and the transport costs. The complete service will be invoiced excluding tax. On the other hand, on arrival of the parcel the Customer will be required to clear his goods by paying the duties and taxes at the entrance to the department or territory.

5.3 Delivery in Community Europe
The items ordered are subject to French VAT as well as the Transport costs if the Customer is an individual, if the Customer is a professional, he benefits from the tax refund on the products and Transport costs. On the other hand, on arrival of the parcel the Customer will be required to clear his goods by paying the duties and taxes at the entrance to the department or territory.

5.4 Delivery outside the European Community
The Customer benefits from the tax refund on the products and the transport costs. The invoice will be established excluding French VAT. The Customer must, on the other hand, pay the duties and taxes upon entering his country and ensure, beforehand, that the products thus ordered are authorized for import into his country.

Article 6: Terms of payment and security
Payment is secure and is made by credit card, check or bank transfer. Placing an order by clicking on the payment icon implies acceptance, without restriction or reservation, of these General Conditions of Sale by the Customer.
Unless proven otherwise, the data recorded by the Supplier constitutes proof of all transactions.
The payment itself will only be considered final after actual collection of the funds by the Supplier.

6.1 Default of Payment
The Supplier will not be required to deliver the products ordered by the Customer if the latter does not pay the price under the conditions and according to the methods indicated above.
The Supplier also reserves the right to refuse to make a delivery or to honor an order from a Customer who has not fully or partially paid a previous order or with whom a payment dispute is in progress.

6.2 Anti-Fraud Controls
The Supplier checks all orders that have been validated on its Site. These controls aim to protect the Supplier from abusive practices operated by fraudsters. As part of these procedures, the Supplier may be required to ask the Customer for all the documents necessary to release his order: proof of residence and debit in your name, etc. These requests are made by e-mail.

Article 7: Shipping of the order, time and shipping costs
The total delivery time (which includes the computer processing time of the order, its preparation, its dispatch, and its delivery by the carriers) is given for information only and cannot be guaranteed.
The order is shipped upon acceptance of payment by credit card.
The items are shipped by FedEx or other carriers depending on the destination and are delivered to the address indicated by the Customer when ordering on the website.
Shipping costs are calculated online.
The indicative delivery time is 48 hours for metropolitan France. For the European Union and abroad, it is 5 to 9 days indicative depending on the area, and 6 to 8 days for the DOM-TOM.
The Supplier undertakes to make its best efforts to have the products ordered by the Customer delivered within the deadlines specified above.
Delivery is deemed to have been made upon delivery of the products ordered by the Supplier to the carrier.
The Customer is required to check the condition of the products delivered. He has a period of three (3) days from delivery to file, in writing (postal mail, e-mail, fax), a claim against the Supplier for non-conformity or apparent defect of the products delivered. After this period, the products will be deemed to be compliant and free from any apparent defect.

Article 8: Right of withdrawal and return of goods
The non-professional Customer has, in accordance with the law, a withdrawal period of 14 days from the delivery of the products to return them to the Supplier for the purpose of exchange or reimbursement, provided that the products are returned within their original packaging and in perfect condition within thirty (30) days of delivery.
However, it is specified that audio or video recordings (CD, DVD) that have been unsealed cannot be returned (Article L121-20-2 of the Consumer Code).
Items thus returned will be refunded after verification of the condition of the items.
Return costs will be the sole responsibility of the Customer.
Reimbursement is made either by check payable to the customer or by crediting the bank account.
Failing compliance with these conditions, the products will not be refunded and will be returned at the customer's expense. It is recommended that the Customer contact the Supplier before initiating a return procedure.

Article 9: Responsibility of the Supplier - Warranty
Any warranty from the Supplier is excluded in the event of misuse, negligence or lack of maintenance on the part of the Customer, such as in the event of normal wear and tear of the goods or force majeure.
The products sold on the Site comply with the regulations in force in France. The Supplier cannot be held liable in the event of non-compliance with the legislation of the country in which the products are delivered, which it is the Customer's responsibility to verify.
The presentation photographs of the articles and illustrations accompanying the products on the Site have no contractual value and cannot therefore engage the responsibility of the Supplier.
The Customer is solely responsible for the choice of products, their conservation and their use.
The Supplier shall not be considered liable or in default for any delay or non-performance resulting from the occurrence of a case of force majeure usually recognized by French case law.

Article 10: Data Protection Act
Pursuant to Law No. 78-17 of January 6, 1978, it is recalled that the personal data requested from the Customer is necessary for the processing of his order and is intended for internal use by the Supplier. This personal data may nevertheless be transmitted to third parties, partners of the Supplier. The Customer therefore has a right of access, modification, rectification and opposition with regard to information concerning him.

Article 11: Attribution of jurisdiction – Applicable law
If the customer is acting as a merchant, all disputes arising from the purchase and sale transactions covered by these general conditions of sale will be submitted to the NANTERRE COMMERCIAL COURT, which is expressly accepted by the customer.
All the clauses appearing in these general conditions of sale, as well as all the purchase and sale operations referred to therein, will be subject to French law.
The law applicable to any litigation whatever the cause or the object is the French law, as well on the rules of funds as on the rules of form.
